1. Introduction
Welcome to MM Commodities. These Terms of Service set out the terms and conditions under which we supply goods, provide quotations, communicate with customers, and process trade enquiries.
By placing an order, requesting a quotation, using our website, or engaging with MM Commodities, you agree to these Terms of Service.
2. About MM Commodities
MM Commodities is a business-to-business supplier and distributor of alcoholic beverages, FMCG products, surplus stock, and related goods for wholesale, retail, import, export, and distribution markets.
Our products are supplied strictly for trade and commercial purposes only.
3. Business-to-Business Only
MM Commodities does not sell products to consumers for personal use. All enquiries, quotations, offers, and sales are intended for businesses, importers, wholesalers, distributors, retailers, and other authorised trade buyers.
By placing an order, you confirm that you are acting in a business capacity and have the authority to purchase the goods.
4. Alcohol Products and Legal Compliance
Where goods include alcoholic beverages, the buyer is responsible for ensuring that they hold all required licences, permits, approvals, import authorisations, customs registrations, and regulatory permissions needed to purchase, import, store, distribute, market, or resell those goods in their territory.
The buyer is also responsible for complying with all applicable laws relating to alcohol, including age restrictions, advertising rules, labelling requirements, tax obligations, customs procedures, and responsible sale requirements.
MM Commodities reserves the right to refuse any order where we reasonably believe the buyer is not authorised to purchase or handle alcoholic goods.
5. Product Information
We aim to ensure that all product details, including descriptions, case sizes, pack formats, origin, best before dates, alcohol strength, availability, and pricing, are accurate at the time they are provided.
However, product information may change due to supplier updates, stock movement, availability, warehouse confirmation, market conditions, or regulatory requirements.
The buyer must check and confirm all product details before placing an order.
6. Quotations and Pricing
All quotations are subject to availability and final confirmation.
Prices may be quoted on different trade terms, including EXW, FOB, CIF, DAP, or other agreed Incoterms. Any duties, taxes, customs charges, port fees, clearance fees, transport costs, insurance, inspection fees, or local charges are the responsibility of the buyer unless expressly agreed otherwise in writing.
A quotation does not constitute a binding contract until MM Commodities has confirmed acceptance of the order in writing.
7. Orders
An order is only accepted once confirmed in writing by MM Commodities.
We reserve the right to reject, cancel, or amend any order where stock is no longer available, supplier terms change, payment is not received, compliance checks are not satisfied, or there is an error in pricing or product information.
8. Payment Terms
Payment terms will be confirmed in writing for each transaction.
Unless otherwise agreed, payment must be made in cleared funds before goods are released, collected, shipped, or transferred.
Where a deposit is required, the buyer’s order, allocation, production slot, or stock reservation may not be secured until the deposit has been received.
Late payment, failed payment, or non-payment may result in cancellation of the order, loss of allocation, additional storage charges, or recovery action.
9. Availability and Stock Reservation
Stock is subject to availability and may be sold, reserved, withdrawn, or repriced without notice until payment or deposit has been received and the order has been confirmed.
MM Commodities cannot guarantee availability based on verbal discussions, informal messages, or unconfirmed enquiries.
10. Delivery, Collection and Logistics
Delivery, collection, loading, shipping, and export arrangements will depend on the agreed trade terms for each order.
The buyer is responsible for ensuring that all shipping, customs, clearance, documentation, and import arrangements are suitable for the destination country.
Where goods are collected by the buyer or their nominated haulier, responsibility for the goods may pass to the buyer at the point of collection, unless otherwise agreed in writing.
11. Risk and Title
Risk in the goods passes to the buyer in accordance with the agreed trade terms or, where no specific term is agreed, when the goods are collected, loaded, released, or handed over to the buyer, carrier, warehouse, freight forwarder, or nominated representative.
Title to the goods remains with MM Commodities until full payment has been received in cleared funds.
12. Inspection and Claims
The buyer must inspect the goods, documents, quantities, and packaging as soon as reasonably possible upon collection, delivery, or receipt.
Any shortage, damage, discrepancy, or issue must be reported in writing immediately and, in any event, within a reasonable period from receipt.
Claims may not be accepted where goods have been moved, resold, opened, altered, stored incorrectly, exported, or handled by third parties before inspection.
13. Short-Life, Surplus and Liquidated Stock
Where goods are sold as short-life, surplus, liquidation, clearance, or promotional stock, the buyer acknowledges that such goods may have limited availability, shorter best-before dates, specific storage requirements, or reduced resale windows.
The buyer is responsible for checking the suitability of such goods for their market before placing an order.
14. Import, Export and Regulatory Responsibility
The buyer is responsible for confirming that the goods comply with all laws and regulations in the destination country, including labelling, registration, customs, conformity assessment, tax stamps, excise duty, health certificates, import permits, product standards, and market-specific requirements.
MM Commodities may assist with documentation where possible, but ultimate responsibility for import clearance and local compliance rests with the buyer.
15. Documentation
Documents may include invoices, packing lists, certificates of origin, transport documents, warehouse release documents, product specifications, or other trade documents where applicable.
Any additional documents required by the buyer must be requested before the order is confirmed. Additional documents may be subject to availability, supplier approval, third-party fees, or extra processing time.
16. Cancellations
Orders may not be cancelled once confirmed, paid, reserved, released, loaded, shipped, or specially arranged, unless MM Commodities agrees in writing.
Where a cancellation is accepted, cancellation charges, storage costs, supplier fees, transport costs, administration fees, or other losses may be deducted from any refund.
17. Returns and Refunds
Returns are not accepted unless agreed in writing by MM Commodities.
Refunds will not usually be provided where goods have been correctly supplied, collected, shipped, exported, resold, opened, damaged after release, or rejected due to the buyer’s failure to arrange import clearance or market compliance.
18. Limitation of Liability
MM Commodities will not be liable for indirect losses, loss of profit, loss of business, loss of contracts, customs delays, port delays, regulatory refusal, market rejection, resale losses, storage costs, or any loss arising from the buyer’s failure to comply with local laws or import requirements.
Our liability, where legally permitted, shall be limited to the value of the goods supplied under the relevant order.
19. Force Majeure
MM Commodities shall not be liable for delay or failure to perform where caused by events outside our reasonable control, including supplier issues, stock shortages, transport disruption, customs delays, port congestion, strikes, war, sanctions, regulatory changes, extreme weather, pandemic, system failure, or other unforeseen events.
20. Sanctions, Anti-Bribery and Trade Restrictions
The buyer confirms that they will not use, sell, export, re-export, distribute, or supply any goods in breach of applicable sanctions, trade restrictions, anti-bribery laws, anti-money laundering laws, or export control regulations.
MM Commodities reserves the right to refuse or cancel any order where compliance concerns arise.
21. Confidentiality
Any pricing, supplier information, stock lists, trade terms, commercial discussions, invoices, product availability, and business information provided by MM Commodities must be treated as confidential and must not be shared with third parties without written consent.
22. Website Use
The content on our website is provided for general business information only. We aim to keep information accurate and up to date, but we do not guarantee that all website content, stock details, pricing, or product availability will always be complete, accurate, or current.
We may update, change, suspend, or remove website content at any time.
23. Intellectual Property
All content, branding, images, logos, text, designs, and materials on our website or provided by MM Commodities remain the property of MM Commodities or the relevant rights owner.
You must not copy, reproduce, distribute, or use our materials without prior written permission.
24. Data Protection
We may collect and process business contact details and enquiry information for the purpose of responding to enquiries, providing quotations, processing orders, managing customer relationships, and complying with legal or regulatory obligations.
Personal data will be handled in accordance with applicable data protection laws.
25. Changes to These Terms
MM Commodities may update these Terms of Service from time to time. The latest version will apply from the date it is published on our website or otherwise provided to the buyer.
26. Governing Law
These Terms of Service shall be governed by the laws of England and Wales, unless otherwise agreed in writing.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless another jurisdiction is expressly agreed in writing.
